PLEASE READ THE FOLLOWING CUSTOMER REFERRAL PROGRAM TERMS AND CONDITIONS CAREFULLY BEFORE PARTICIPATING IN THE CUSTOMER REFERRAL PROGRAM. PARTICIPATION IN THIS PROGRAM CONSTITUTES YOUR ACCEPTANCES OF ALL THE PROGRAM TERMS AND CONDITIONS.

We are excited that you are choosing to participate in the Blue Dot Customer Referral Program, offered by Blue Dot Way, LLC (“Blue Dot”) (the “Program”). Your participation in and use of the Program is strictly subject to the Program terms and conditions, below (the “Program Terms”). If you have any questions please feel free to contact us at any time. If you do not agree to all of these Program Terms, or are otherwise ineligible to participate or precluded from participating in the Program, please do not take part in the Program.

1. Participant Acceptance and Termination. We can and will make all determinations regarding participation in the Program. We reserve the right to terminate your participation in the Program at any time for any reason or no reason, to the extent permitted by law, upon written notice to you. Any written notices required or permitted to be given by Blue Dot hereunder may be delivered by email. By participating in the Program, you consent to delivery of all Program-related notices and information by email to the email address you have registered with and acknowledge that you have the necessary equipment (hardware and software) to receive such emails.

2. Qualified Referrals and Program Eligibility. Qualified referrals must: (a) be new customers to Blue Dot; (b) place an order with Blue Dot in an amount of at least ten thousand dollars ($10,000.00) worth of product, excluding shipping & service fees and taxes (the “Order”); (c) and make full payment for the Order to Blue Dot (each a “Qualified Referral”). Eligible Program participants are defined as (x) the “new customer” (the “Referred Customer”); and (y) the person who properly referred the new customer (the “Referral Provider”). Referrals must be made online by filling out the form on the designated Blue Dot referral website, located here. For purposes of the Program, “new customer” does not include a person or organization who is a current or pending customer of Blue Dot or who is in active negotiations with Blue Dot. By participating in the program, you agree that Blue Dot shall make the final determination as to whether any referral meets all requirements to be considered a “Qualified Referral.”  

3. Referral Reward. Upon properly submitting a Qualified Referral, the Referral Provider and Referred Customer can receive, at the Referral Provider’s selection, either: (a) one (1) gift card for for the Referral Provider and one (1) gift card for the Referred Customer, each in the amount of two hundred and fifty dollars ($250.00) worth of credit to one of Blue Dot’s preferred suppliers, selected by Blue Dot’s in its sole and absolute discretion; or (b) a one (1)-time, one thousand dollar ($1,000) donation on behalf of Participant to an environmental nonprofit organization, selected by Blue Dot in its sole and absolute discretion. Blue Dot will contact you within thirty (30) days of receiving a Qualified Referral to provide information about the suppliers selected by Blue Dot. You must respond within thirty (30) days with your reward selection to receive a referral reward. All communications between you and Blue Dot will be conducted via email with the email address provided during the referral process.

4. Intellectual Property Ownership. Other than with respect to materials provided to in connection with your participation in the Program, your status as a participant in the program does not entitle you to use any trademarks, copyrighted materials, patents, names, logos or other intellectual property owned or licensed by Blue Dot or its respective affiliates.

5. No Obligations. Referring a new to Blue Dot does not obligate Blue Dot to provide services or otherwise engage with the Prospective Customer. Blue reserves the right to deny services to any new customer.

6. Warranty Disclaimers; Limitation of Liability. YOU EXPRESSLY AGREE THAT YOUR PARTICIPATION IN THE PROGRAM IS AT YOUR OWN RISK. THE PROGRAM IS MADE AVAILABLE TO YOU ON AN “AS IS” BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. NEITHER BLUE DOT NOR ANY OF ITS AFFILIATES, THROUGH THESE PROGRAM TERMS, MAKES ANY WARRANTY REGARDING THE PROGRAM, AND EACH EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL BLUE DOT OR ITS AFFILIATES BE LIABLE FOR SPECIAL, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES OR DAMAGES FOR LOSS OF PROFITS, REVENUE, USE, OR DATA AS A RESULT OF CLAIMS, WHETHER BROUGHT IN CONTRACT OR TORT, ARISING OUT OF OR CONNECTED WITH THESE PROGRAM TERMS OR THE PROGRAM, EVEN IF CLIENT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Amendments. These Program Terms may be altered, changed, modified or assigned by Blue Dot at any time by providing notice to you. Your participation in the Program at any time after our business provides you such notice of changes will constitute your agreement to such changes.

8. Other Terms and Conditions. These Program Terms are in addition to and do not in any way limit or alter Blue Dot’s other terms and conditions or agreements pursuant to which our business allows you to participate in the Program.

9. Acceptance and Jurisdiction. By participating in the program, you agree that you have read, understand and will abide, and be bound, by these Program Terms. You agree to these Terms in their entirety, and confirm that Your participation in the Program does not violate or breach any law, regulation, policy, or contractual obligation that may apply to You. These Program Terms shall be governed in all respects in accordance with the laws of the State of New York without regard to the conflict or choice of law rules thereof. The federal and state courts of New York shall have exclusive jurisdiction over any dispute arising hereunder and by participating in the program you consent to same.

10. FTC 16 CFR Part 255 Compliance. Blue Dot complies with the Federal Trade Commission’s 16 CFR Part 255 “Guides Concerning the Use of Endorsements and Testimonials in Advertising”. Accordingly, if you make any post on any social network (such as Facebook, Twitter, Instagram, Pinterest, or LinkedIn) as a part of this Program, you must at a minimum include either “This is a paid endorsement” or “#paidad” in any social network posts you make as a part of this Program. You are responsible for ensuring that your posts on any social network comply with the terms of use of the site, and any other applicable laws, statutes, and regulations.
